Partner Program Terms & Conditions

By applying to the 2Care AI Partner Program, you (the Partner, you) agree to these Terms with 2Care AI Inc., a Delaware corporation (2Care, we, us).

1. What you are agreeing to

You may introduce healthcare practices, clinics, and practice groups (Practices) to 2Care's AI workforce for healthcare administration: the AI receptionist, scheduling with EHR/PMS write-back, patient intake, and outbound outreach (the Services).

You are not authorized to make commitments, representations, or warranties on 2Care's behalf beyond introducing and promoting the Services. You will not quote pricing, discounts, or contract terms other than 2Care's published materials, and you will not sign anything or bind 2Care in any way. Partners reselling under Section 3 are the exception: they set their own prices to their own customers.

This is a partner program. It is not an agency, employment, or franchise relationship.

2. Refer commission

You earn commission on the net subscription revenue 2Care actually receives from each Referred Practice: subscription fees only, excluding taxes, refunds, credits, chargebacks, and one-time setup or implementation fees.

Commission accrues for the life of the customer: as long as the Referred Practice keeps an active paid subscription, you keep earning.

A Referred Practice is a practice that (a) is not a current or former 2Care customer and not an active opportunity in 2Care's sales pipeline, (b) is registered by you through your referral code or link, or in writing to 2Care, and accepted by 2Care, and (c) signs a paid subscription within 90 days of registration. Self-referrals and referrals within your own organization do not qualify.

Your rate is set by your partner tier, based on how many of your Referred Practices are live on paid plans:

• Bronze: 1 to 3 practices, 15%.
• Silver: 4 to 7 practices, 20%.
• Gold: 8 to 15 practices, 25%.
• Platinum: 16 to 24 practices, 30%.
• Diamond: 25 or more practices, 35%.

When you reach a higher tier, the higher rate applies to all of your Referred Practices from that point on.

2Care pays commission monthly, within 30 days of receiving the subscription revenue, in USD by bank transfer or another method 2Care reasonably offers. You are responsible for your own taxes.

Refunds, credits, and chargebacks reduce the commission base. If 2Care has already paid commission on revenue later refunded, 2Care may offset it against future payouts.

3. Resell terms

Approved resell Partners buy 2Care subscriptions at the partner discount stated in their approved resell arrangement and resell them to Practices at their own price, invoicing the Practice directly.

Resell accounts do not earn referral commission under Section 2.

For resold accounts, the Partner is the Practice's first line of support and owns the commercial relationship. 2Care will not contact the Practice directly without the Partner's knowledge, except where required for legal, security, or compliance reasons.

Practices must still receive 2Care's standard terms of service and privacy policy, and 2Care's HIPAA obligations (including the Business Associate Agreement) apply to every Practice, however it is billed.

4. Term and termination

Either party may end this Agreement with 30 days' written notice. Commission already earned on Referred Practices before termination continues to be paid for as long as those Practices remain customers. 2Care may terminate immediately if you breach Sections 1 or 5, or engage in misleading, spam, or unlawful promotion.

5. Confidentiality, trademarks, and patient data

Both parties will keep the other's confidential business information private and use it only to fulfil this Agreement. You may not bid on 2Care's trademarks in paid search, register lookalike domains or handles, or claim any ownership over 2Care's marks. Any other use of 2Care's name or logo in your marketing needs 2Care's prior written approval.

Referrals are introductions of practices, not patients: do not send 2Care any patient lists or protected health information (PHI). If a referral conversation surfaces PHI, route it to the practice's own staff.

6. No guarantee of results

You do not guarantee that referrals will generate profit, sales, or other results, and you carry no responsibility to 2Care if a referral does not convert. 2Care decides, in its discretion, whether to accept or decline any referral and whether to contract with any Referred Practice.

7. Legal

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Each party agrees to indemnify the other against third-party claims arising from its own breach of this Agreement or its own unlawful conduct. Neither party is liable for indirect or consequential damages. You may not assign this Agreement without 2Care's written consent. This document is the entire agreement between the parties about the Partner Program and can only be changed in writing signed by both parties.

This section is a plain-language summary for convenience and is not part of the agreement. Where it differs from Sections 1 to 7, those sections control.

Who can become a 2Care AI partner?

Anyone with a strong network in US healthcare: consultants, agencies, IT and billing providers, or individuals who work with dental, PT, med spa, podiatry and ambulatory practices. Free to join, minutes to start.

Does it cost me or the practice anything?

Joining is free and there is no cost to you. Practices pay their normal 2Care subscription. Your share comes out of our revenue, never as an extra charge to them.

How much can I earn?

15% to 35% of each practice's subscription revenue, every month, for as long as they stay a customer. Your rate rises with your tier, then applies to all of your practices, not just the new ones.

What is the difference between refer and resell?

Refer: share your link or coupon and we handle billing, onboarding and support while you earn commission. Resell: take the account at a discount, set your own price, invoice the practice directly and own the relationship. You choose per practice.

How long does my commission last?

For the life of the customer. As long as the practice you brought keeps using 2Care, you keep earning every month. Recurring, not a single payout.

When do I get paid?

Within 30 days of us receiving the practice's subscription payment, in USD by bank transfer.

What support do I get?

Deployment templates and system prompts, sales materials and case studies, technical onboarding from the 2Care team, and co-marketing and co-selling once you reach the higher tiers.
